1. Agreement

These Terms & Conditions (“Terms”) govern your access to and use of the Proteus Trading web application, APIs, and related services (the “Desk”) operated by Proteus / KM Brands LLC and affiliates (“Proteus,” “we,” “us”).

By creating an account, connecting a wallet, or using the Desk, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Desk.

2. Eligibility

You must be at least 18 years old (or the age of majority where you live) and legally able to enter contracts. You may not use the Desk if you are subject to sanctions or located in a jurisdiction where use of digital-asset trading interfaces is prohibited.

If you use the Desk on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

3. The Desk is software, not a broker

Proteus provides non-custodial software interfaces that help you discover markets, request routes, and prepare transactions you sign with your own wallets. Except where you expressly opt into a separate managed mandate and send assets to a disclosed custody address, Proteus does not take custody of your self-directed trading funds.

Proteus is not a bank, broker-dealer, exchange, investment adviser, or money transmitter unless expressly licensed and stated for a specific product. On-chain settlement is performed by public networks and third-party protocols (including but not limited to Jupiter, LiFi, Raydium, Orca, Meteora, and similar venues).

4. Wallets and authentication

Access may require Privy authentication and one or more wallets (embedded or linked). You are solely responsible for:

• Securing credentials, devices, and wallet approvals
• Reviewing transaction simulations before signing
• Safeguarding seed phrases / exported keys
• Any activity originating from wallets linked to your account

We cannot reverse blockchain transactions. Lost keys may mean permanent loss of assets.

5. Markets, quotes, and execution

Prices, depth visualizations, charts, and quotes are informational and may be delayed, incomplete, or inaccurate. Routes can fail, partially fill, or settle at worse prices due to slippage, MEV, congestion, or oracle/liquidity conditions.

You authorize each transaction you sign. You accept network fees, venue fees, and any disclosed Proteus fees shown before confirmation.

6. Liquidity, bridges, and managed trading

LP and bridge features interact with third-party protocols and carry smart-contract, impermanent-loss, bridge, and counterparty risks. Managed trading, if offered, may involve discretionary trading of assets you deposit to a custody wallet under a separate mandate description shown in-product. Do not deposit until custody addresses and mandate terms are clearly configured and understood.

7. Prohibited use

You agree not to:

• Violate applicable law or sanctions rules
• Use the Desk for fraud, market manipulation, or money laundering
• Attack, scrape abusively, or disrupt Desk infrastructure
• Misrepresent affiliation with Proteus
• Interfere with other users’ wallets or sessions

8. Intellectual property

The Desk’s branding, UI, and original software are owned by Proteus or its licensors. You receive a limited, revocable, non-exclusive license to use the Desk for lawful personal or internal business purposes. Protocol trademarks belong to their respective owners.

9. Disclaimers

THE DESK IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROTEUS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, or that any route, chart, or balance display is correct.

Digital assets are volatile. You can lose some or all value. Nothing on the Desk is investment, legal, tax, or accounting advice.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROTEUS AND ITS AFFILIATES, OFFICERS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE DESK OR ANY BLOCKCHAIN TRANSACTION.

OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE DESK WILL NOT EXCEED THE GREATER OF (A) FEES YOU PAID TO PROTEUS FOR THE DESK IN THE THREE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

11. Indemnity

You will indemnify and hold harmless Proteus and its affiliates from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Desk, your wallets, your violation of these Terms, or your violation of law.

12. Suspension and termination

We may suspend or terminate access immediately if we believe you breached these Terms, pose risk to the Desk or other users, or if required by law. You may stop using the Desk at any time. Provisions that by nature should survive (including disclaimers, limits of liability, and indemnity) will survive termination.

13. Changes

We may modify the Desk or these Terms. Material changes will be reflected by updating the “Last updated” date. Continued use after changes become effective constitutes acceptance where allowed by law.

14. Governing law

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless mandatory local consumer law provides otherwise. Courts in Delaware shall have exclusive jurisdiction, subject to any non-waivable rights you may have.
